Valora Club Terms and Conditions
1. Club Membership Privileges
1.1 Access to Club Facilities and Services: Upon acceptance of this Agreement and receipt of any applicable fees, the Club Member shall enjoy exclusive access to all Club services.
1.2 Club Membership offers access to the following exclusive benefits. This is an overview of the key pillars of Club Membership:
1.2.1 Global Network Access: Club Membership provides access to a global network of high-calibre individuals, fostering connections that can enhance both personal and professional opportunities.
1.2.2 Personal Manager: Each Club Member is assigned a dedicated Personal Manager to assist with growth, fulfil requests, and provide personalised support.
1.2.3 Quarterly Club Events: Club Members have the opportunity to attend four (4) Club Events per annum, each lasting three (3) to five (5) days and hosted in different cities around the world.
1.2.4 Exclusive Experiences: Members gain access to unique experiences specifically designed for them, offering opportunities to engage and connect in extraordinary settings.
1.2.5 Bespoke Concierge Service: A tailored concierge service is available to Club Members, enabling them to request the organisation and management of private events and experiences to meet their individual needs.
1.2.6 Additional Benefits: Club Membership includes access to a variety of other exclusive benefits, which may be communicated periodically.
1.3 Club Membership benefits are subject to change, and any changes will be communicated to Club Members in writing through the Club Secretary.
2. International Events and Experiences
2.1 Access and Participation: Club Members are granted exclusive access to Valora Club’s international events and curated experiences held in select global destinations. These events provide unique opportunities for networking, cultural immersion, and personal and professional development.
2.1.2 Event Invitations: Participation in international events is by invitation only. The Club will provide details regarding event locations, dates, itineraries, and eligibility criteria in advance. Invitations are non-transferable unless explicitly authorised in writing by the Club Secretary.
2.1.3 Event Fees: While some events may be included as part of the Annual Membership Fee, certain premium or bespoke experiences may require additional fees. Any applicable fees must be settled within the timeframe specified in the event invitation to secure participation.
2.1.4 Travel and Accommodation: Club Members are responsible for their own travel, visas, insurance, and accommodation expenses unless otherwise stated by the Club. The Club may offer preferred rates or exclusive travel packages through its partners, subject to availability.
2.1.5 Conduct and Compliance: Club Members must adhere to the Code of Conduct and all local laws and regulations in the host country. Any breach of conduct may result in suspension from current or future events and may impact Club Membership status.
2.1.6 Cancellations and Refunds:
Cancellations made by a Club Member within the specified cancellation window may be eligible for a partial or full refund, subject to the event’s terms.
No refunds will be granted for cancellations beyond the deadline or for non-attendance.
If an event is rescheduled or cancelled by the Club, alternative arrangements or credits may be offered at the Club’s discretion.
2.1.7 Force Majeure: The Club shall not be held liable for any cancellation, rescheduling, or modification of an event due to unforeseen circumstances, including but not limited to natural disasters, political unrest, travel restrictions, or global health emergencies.
3. Club Membership Fees
3.1 The Club Member agrees to pay the following fees:
3.1.1 Joining Fee: $2,800 + VAT
3.1.2 Annual Membership Fee: $9,800 + VAT
3.1.3 Additional fees may be determined by the Club for specific Club Events, Exclusive Experiences, and Concierge Requests.
3.1.4 The Club reserves the right to adjust Membership Fees and/or Additional Fees as necessary, with notice provided to the Club Member.
3.1.4.1 The Joining Fee and/or Annual Membership Fee may be adjusted only once within a 12-month period, specifically in instances where Club Membership becomes increasingly desired or when additional benefits are added to the Club Membership.
3.2 All payments shall be made in accordance with the terms established by the Club. Failure to comply with these payment terms may result in suspension or termination of Club Membership privileges.
3.2.1 The Joining Fee is due upon acceptance of the invitation to join the Club and will be settled in U.S. dollars ($).
3.2.2 The first Annual Membership Fee is due upon completion of the inauguration process and will be collected via direct debit in U.S. dollars ($). This fee will automatically renew every 365 days.
3.3 Club Membership Invitation Program
3.3.1 Invitation Program: The Club offers an Invitation Program that rewards current Club Members for successfully inviting new individuals to apply for Club Membership.
3.3.2 Eligibility: To qualify for rewards through the Invitation Program, the inviting Club Member must be in good standing with the Club at the time of the invitation. The invited individual must complete the joining process and pay all applicable fees for both the inviting Club Member and the newly admitted Club Member to receive any rewards. The invited individual must join the Club within thirty (3) days of the invitation. If the invited individual fails to join the Club within this timeframe, no rewards will be granted to either party.
3.3.3 Invitation Process: To activate the Invitation Program, the Club Member wishing to invite an individual for Club Membership must have the individual complete the 'Club Membership Invitation' form. This form will initiate the application process for the candidate to join the Club.
3.3.4 Reward Structure: Upon the successful completion of the inauguration process for the invited individual, both the inviting Club Member and the newly admitted Club Member will each receive a reward of one thousand USD ($1,000). This reward will be sent to each party via bank transfer fourteen (14) days after the new Club Member's successful inauguration.
3.3.5 Confidentiality: Club Members are encouraged to invite potential candidates to join the Club and share information about the Invitation Program with those individuals. However, they must maintain the confidentiality of all details related to the Invitation Program and the personal information of potential new Club Members when discussing with individuals who are not directly involved in the invitation.
3.3.6 Program Updates: The Club reserves the right to modify the terms of the Invitation Program, including eligibility criteria and reward amounts. Any updates will be communicated to Club Members promptly in writing through the Club Secretary.
4. Term and Termination
4.1 This Agreement shall commence on the Effective Date and shall remain in effect for the duration of the Club Member’s active Club Membership term, unless terminated earlier as outlined in this section. The Company reserves the right to issue an updated Agreement or make amendments to this Agreement at any time. Any updates or amendments will be communicated in writing to the Club Member and will take effect as specified in the written notice provided.
4.2 Termination by Club Member
4.2.1 Termination at Renewal: The Club Member may terminate this Agreement by providing the Club Secretary with written notice at least thirty (30) days before the renewal date of their Club Membership.
4.2.2 Mid-Year Termination: If a Club Member wishes to terminate their Club Membership mid-year, they may do so by submitting written notice to the Club Secretary. The termination will be effective immediately, and the Club Member will not be eligible for a refund of any Club Membership dues, Joining Fees, or Additional Fees for upcoming Club Events, Club Experiences, or Concierge Requests.
4.2.3 Termination within Initial 14 Days: If a Club Member terminates their Club Membership within 14 days of joining, the Annual Membership Fee will be refunded in full; however, the Joining Fee is non-refundable.
4.2.4 Resignation by a Club Member: A Club Member may resign at any time by submitting a written notice to the Club Secretary. Upon resignation, all Club Membership privileges are forfeited, and no refund of Club Membership dues or Additional Fees will be provided.
4.3 Termination by the Club
4.3.1 Termination with Notice: The Club reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Club Member through the Club Secretary.
4.3.2 Termination for Conduct: The Club may suspend or terminate a Club Member’s Club Membership if it determines that the conduct, reputation, or behaviour of the Club Member or their Club Member Guest(s) is damaging to the Club or renders the Club Member unfit to associate with others. This decision is at the sole discretion of the Club, with notice provided by the Club Secretary.
4.3.3 Request for Resignation: The Club Secretary may request a Club Member to resign under certain circumstances. If the Club Member complies, they forfeit all privileges and are not entitled to a refund. If the Club Member declines, the Club may proceed with expulsion.
4.3.4 Expulsion and Investigation: If necessary, the Club may expel a Club Member from Club Membership. The Club may initiate an investigation prior to expelling a Club Member. During this period, the Club Membership will be temporarily suspended. Management, the Secretary, or the Executive Committee holds the authority to suspend or terminate membership.
4.3.5 Suspended Club Members will have no access to Club benefits, services, or privileges for the duration of the suspension.
4.3.6 If a Club Member resigns upon request by the Club Secretary, they are prohibited from reapplying for membership for twenty-four (24) months.
4.3.7 An expelled Club Member forfeits all privileges and benefits without entitlement to a refund. Expelled Members are barred from reapplying for five (5) years.
4.4 Membership Freeze
4.4.1 Club Members may request a freeze under exceptional circumstances by submitting a written request to the Club Secretary, detailing the reasons for the freeze.
4.4.2 The Secretary, with the Executive Committee, will decide on the freeze request. If approved, the terms will be documented in a formal Club Membership Freeze Agreement.
4.4.3 During the freeze period, Annual Membership fees and access to Club benefits will be paused. The freeze period is fixed once agreed upon and cannot be altered.
4.4.4 To reactivate a Club Membership before the end of the freeze period, the Club Member must submit a reactivation request. A reactivation fee may apply at the discretion of the Executive Committee. Upon reactivation, access to the Club resumes.
4.5 Reapplication Terms
4.5.1 A Club Member who resigns upon the Secretary’s request cannot reapply for twenty-four (24) months from the resignation date.
4.5.2 An expelled Club Member is barred from reapplying for five (5) years. After this period, they may reapply, with their application reviewed fairly and without prejudice.
4.6 Renewal of Club Membership
4.6.1 The renewal date for each Club Member’s Annual Membership Fee is 365 days from their inauguration date. All Club Membership renewals are reviewed by the Executive Committee annually. In some cases, a Club Member will be blocked from renewal and this decision will be communicated in writing to a Club Member thirty (30) days prior to the renewal date. Such decisions are final. No reason will be provided for non-renewal.
4.6.2 The Annual Membership Fee will be collected automatically at the rate applicable on the joining date unless otherwise determined by the Company. Such changes in the Annual Membership Fee will be communicated in writing to each Club Member through the Club Secretary.
4.6.3 If the Annual Membership Fee is not settled by the renewal date, a seven (7) day grace period will apply. After this period, the Club Member will be considered overdue, and access to the Club will be removed. Failure to settle dues within an additional seven (7) day period will result in suspension and potential termination of Club Membership.
4.6.4 If a terminated Club Member settles all outstanding dues within one-hundred-and-eighty (180) days, they may reactivate their Club Membership with backdated fees. If the Club Member does not reactivate within one-hundred-and-eighty (180) days, they must wait twelve (12) months to reapply.
4.7 All decisions regarding Club Membership discipline made by the Executive Committee are final and binding. No claims may be made against the Company.
5. Code of Conduct
5.1 The Club Member agrees to uphold the standards outlined in the Club’s Code of Conduct, detailed in the Valora Club Constitution, which promotes respect, integrity, and professionalism among all Club Members, staff, and Club Member Guests. Club Members are expected to treat others with courtesy, avoid actions that may bring disrepute to the Club, and comply with all rules regarding behaviour, privacy, and appropriate conduct at Club-hosted events. This includes compliance with local laws, the Silver Rule, and other Club-specific regulations as defined in the Club Constitution.
5.2 As specified in the Valora Club Constitution, Club Members must refrain from any form of misconduct, such as violent behaviour, abusive language, or the use of illegal substances. Club Members must respect the privacy of other Club Members, maintain confidentiality about the Club’s activities, and ensure their Club Member Guests are fully aware of and compliant with these guidelines. Any damage caused by the Club Member or their Club Member Guest to Club or event property must be fully compensated by the responsible party.
5.3 Any violation of the Code of Conduct may lead to disciplinary actions, including warnings, suspension, termination, or expulsion of Club Membership. Disciplinary measures will be conducted at the discretion of the Club, following the procedures outlined in the Valora Club Constitution. If a review of conduct is initiated, the Club Member’s access to Club privileges may be temporarily suspended during the investigation period. A final decision, made by the Secretary, Management, or Executive Committee, will be binding and non-appealable.
5.4 The Club reserves the right to amend the Code of Conduct as outlined in the Valora Club Constitution. All updates will be communicated in writing to Club Members, and access to the updated Constitution will be made available to them.
6. Liability and Indemnification
6.1 Limitation of Liability: To the fullest extent permitted by law, the Club and the Company, including its officers, directors, employees, team members, and agents, shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the Club Member’s participation in any Club Membership benefits, privileges, activities, or use of facilities, regardless of whether such damages were foreseeable or if the Club and Company were advised of the possibility of such damages. This includes, but is not limited to, damages arising from personal injury, loss of property, or any disruption of Club Membership privileges.
6.2 Assumption of Risk: The Club Member acknowledges and accepts that participation in Club events and activities involves inherent risks. The Club Member voluntarily assumes all risks associated with their participation and agrees that the Club and the Company shall not be held liable for any resulting harm, including injury or loss.
6.3 Indemnification: The Club Member agrees to indemnify, defend, and hold harmless the Club and the Company, along with its officers, directors, employees, team members, and agents, from and against any and all claims, losses, liabilities, damages, costs, and expenses (including attorney’s fees) arising out of or in connection with (i) the Club Member’s breach of this Agreement; (ii) any negligent, reckless, or wrongful act or omission by the Club Member; or (iii) any act or omission of any guest brought by the Club Member to a Club Event or activity.
6.4 The obligations set forth in this Section 5 shall survive the termination or expiration of this Agreement, ensuring continued protection of the Club and Company against liabilities resulting from any actions by the Club Member during the term of their Club Membership.
7. Confidentiality
7.1 Confidential Information: The Club Member acknowledges that, during the course of their Club Membership, they may have access to or become aware of certain proprietary or confidential information belonging to the Club and its Club Members ("Confidential Information"). Confidential Information includes, but is not limited to, details regarding other Club Members, Club Event locations, Club Experience information, Club Membership benefits, internal communications, and any other sensitive information shared within the context of Club activities.
7.2 Obligation of Confidentiality: The Club Member agrees to hold all Confidential Information in strict confidence and shall take all necessary precautions to protect it from unauthorised disclosure. The Club Member shall not, without prior written consent from the Club, disclose any Confidential Information to any third parties or use such information for any purpose other than as expressly authorised by the Club.
7.3 Exceptions: Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement; (ii) is lawfully obtained by the Club Member from a third party without obligation of confidentiality; or (iii) is independently developed by the Club Member without the use of or reference to the Confidential Information.
7.4 Survival of Obligations: The obligations of confidentiality set forth in this Section 6 shall survive the termination or expiration of this Agreement, continuing to protect the interests of the Club and its Club Members indefinitely.
7.5 Breach of Confidentiality: Any breach of this confidentiality obligation may result in disciplinary action, including potential suspension or termination of Club Membership, at the sole discretion of the Club. The Club Member acknowledges that unauthorised disclosure of Confidential Information could cause irreparable harm to the Club and its Club Members, and as such, the Club shall be entitled to seek injunctive relief in addition to any other legal remedies available.
8. Reference to Valora Club Constitution
8.1 The Club Member acknowledges that the Valora Club Constitution, which is incorporated by reference into this Agreement, governs all aspects of Club Membership, including but not limited to Club Member elections, management, byelaws, and club rules. The Club Member agrees to comply with the provisions set forth in the Valora Club Constitution.
8.2 The Club reserves the right to amend the Valora Club Constitution at any time. Any amendments will be communicated to Club Members in writing through the Club Secretary, detailing the nature of the amendments and their effective date.
8.2.1 Continued participation in Club Membership following notification of amendments to the Valora Club Constitution constitutes acceptance of the revised terms. If the Club Member has any issues with the amendments, they must respond in writing to the Club Secretary within thirty (30) days of receiving the notification.
9. Governance
9.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
10. Entire Agreement
10.1 This Agreement, along with the Valora Club Constitution, constitutes the entire understanding between the parties and supersedes all prior discussions and agreements, whether written or oral, regarding the subject matter hereof.
11. Amendments
11.1 The Club reserves the right to amend this Agreement at any time.
11.2 Any amendments will be communicated to the Club Member in writing through the Club Secretary, detailing the nature of the amendments and their effective date.
11.3 Continued participation in Club Membership following notification of amendments constitutes acceptance of the revised terms. If the Club Member has any issues or objections to the amendments, they must respond to the Club Secretary in writing within thirty (30) days of receiving the notification, outlining their concerns. Failure to respond within this timeframe will be deemed acceptance of the amendments.
